Terms of Service

1. Acceptance of Terms

By installing, accessing, or using FocusGuard (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you don't agree to these Terms, please don't use FocusGuard.

These Terms constitute a legally binding agreement between you and FocusGuard ("we", "us", "our"). We may update these Terms at any time. Continued use after changes means you accept the new Terms.

2. Description of Service

FocusGuard is a Chrome browser extension that:

• Integrates with Google Calendar to schedule focus sessions
• Blocks distracting websites during active focus sessions
• Tracks productivity statistics locally on your device
• Provides optional team collaboration features

The Service is provided on a subscription basis with a 14-day free trial period.

3. Eligibility

You must be at least 13 years old to use FocusGuard. If you're under 18, you must have parental consent. By using the Service, you represent that you meet these requirements.

4. Account Registration & License Keys

4.1 Trial Period

New users receive a 14-day free trial with full access to all features. No credit card required. After the trial ends, you must purchase a subscription to continue using FocusGuard.

Trial Limitations (Anti-Abuse Policy):

• One trial per person: Each individual is entitled to one free trial only
• One trial per email: Each email address can activate one trial
• One trial per device: Each device/browser can activate one trial
• No trial stacking: Using multiple emails on the same device is prohibited
• No device spoofing: Attempting to reset device fingerprints is prohibited

How we enforce this: We use device fingerprinting (a hash of browser/hardware characteristics) and email tracking to prevent abuse. If you attempt to circumvent these limitations:

• Your trial may be terminated immediately
• Your email and device may be permanently blocked
• You may be required to purchase a subscription at full price

Legitimate use cases: If you reinstall your browser, get a new computer, or have a valid reason to request a new trial, contact us at support@focusguard.app. We'll review on a case-by-case basis.

4.2 Subscription Plans

Available plans:

• Individual: $4.99/month - Single user license
• Core (5-10): $29.99/month - Up to 10 team members
• Pro (11-20): $49.99/month - Up to 20 team members
• Team (21-35): $89.99/month - Up to 35 team members
• Scale (36-100): $149.99/month - Up to 100 team members
• Enterprise (100+): Custom pricing - Contact sales for unlimited users

4.3 License Keys

Upon purchase, you'll receive a license key via email. This key is:

• Personal: For your use only (Individual plan)
• Non-transferable: Cannot be shared, sold, or given away
• Single-activation: Each license key can only be activated once
• Device-bound: Once activated, the license is tied to your device
• Revocable: We may revoke keys if Terms are violated

License Key Rules:

• Do not share your license key publicly or privately
• Do not post your license key on forums, social media, or file-sharing sites
• Do not sell or trade your license key
• Do not use scripts or automation to activate multiple licenses

Violation consequences: If we detect license sharing or abuse:

• The license key will be immediately revoked
• No refund will be provided
• Your account may be permanently banned
• We may pursue legal action for commercial piracy

Device changes: If you get a new computer or need to transfer your license, contact support@focusguard.app. We allow reasonable device transfers for legitimate use.

4.4 Team Plans

Team and Enterprise plans allow multiple users under one subscription:

• Seat-based licensing: Each team member requires one seat
• Admin control: Team admin manages member list and can add/remove members
• Email verification: Team members must use company email addresses
• No seat sharing: Each seat is for one individual; sharing seats is prohibited
• Automatic activation: Team members are auto-activated when they enter their company email

Exceeding seat limits: If your team grows beyond your plan's seat limit:

• New members will be unable to activate
• You'll need to upgrade to a larger plan or remove inactive members
• We may contact you to discuss upgrading

5. Payment Terms

5.1 Pricing

All prices are in USD and billed monthly. Prices are subject to change with 30 days notice.

5.2 Payment Processing

Payments are processed securely by Stripe. We never see or store your payment card details. By purchasing, you agree to Stripe's Terms of Service.

5.3 Recurring Billing & Auto-Renewal

Automatic Renewal: All subscriptions automatically renew to ensure uninterrupted service. By subscribing, you authorize us to charge your payment method on a recurring basis.

• Billing cycle: Monthly, on the same date you originally subscribed
• Renewal notification: We'll email you 7 days before each renewal
• Price changes: If prices increase, we'll notify you 30 days in advance
• Payment method updates: Keep your card current to avoid service interruption

How to cancel auto-renewal:

• Email support@focusguard.app at least 24 hours before renewal
• Cancel directly through your Stripe customer portal (link in your receipt email)

After canceling, your subscription remains active until the end of your current billing period. You will not be charged again, but you also will not receive a prorated refund.

5.4 Refund Policy

• Trial period: Free, no refund needed
• First 30 days: Full refund if unsatisfied, no questions asked
• Days 31-60: 50% refund at our discretion
• After 60 days: No refunds; cancel to stop future charges
• Violation of Terms: No refund if account terminated for abuse
• Chargebacks: If you dispute a charge with your bank instead of contacting us, your account will be permanently banned

How to request a refund:

• Email support@focusguard.app with your license key
• Include the email address used to purchase
• Briefly explain why you're requesting a refund (helps us improve!)

Refunds are processed within 5-10 business days and returned to your original payment method.

5.5 Failed Payments

If payment fails, we'll attempt to charge again. After 3 failed attempts, your subscription will be canceled and access revoked. No data will be deleted for 90 days.

6. Cancellation

You may cancel anytime through your account settings or by emailing us. Upon cancellation:

• No future charges will occur
• You retain access until the end of your current billing period
• Your data remains accessible for 90 days
• After 90 days, all data is permanently deleted

7. Acceptable Use Policy

You Agree NOT To:

• ❌ Share, resell, or distribute your license key
• ❌ Use multiple email addresses to obtain multiple trials
• ❌ Spoof, reset, or manipulate device fingerprints to get additional trials
• ❌ Use virtual machines, browser profiles, or privacy tools to circumvent anti-abuse measures
• ❌ Reverse engineer, decompile, or modify the extension
• ❌ Use automated systems, scripts, or bots to create fake accounts
• ❌ Attempt to bypass license validation or subscription checks
• ❌ Use FocusGuard for illegal purposes
• ❌ Interfere with the Service's operation or servers
• ❌ Abuse support resources or submit fraudulent support requests
• ❌ Impersonate other users or FocusGuard staff

Anti-Abuse Measures

To protect our service and paying customers, FocusGuard employs the following anti-abuse measures:

• Device Fingerprinting: We create a unique hash of your browser/device characteristics to identify repeat trial requests
• Email Tracking: Each email can only activate one trial
• License Validation: Licenses are verified against our servers on each use
• Anomaly Detection: We monitor for suspicious patterns indicating abuse

By using FocusGuard, you consent to these anti-abuse measures. If you believe you've been incorrectly flagged, contact support@focusguard.app.

We Reserve the Right To:

• Terminate accounts that violate these Terms
• Revoke license keys obtained fraudulently
• Modify or discontinue features
• Refuse service to anyone at our discretion

8. Privacy & Data

Your use of FocusGuard is governed by our Privacy Policy. Key points:

• We only access calendar event names and times (read-only)
• Focus session data is stored locally on your device by default
• We never track your browsing history
• Team features use encrypted cloud storage (Firebase)

9. Google Calendar Integration

FocusGuard's use of Google Calendar API is subject to Google's policies:

• We request only calendar.readonly permission
• We cannot modify, create, or delete calendar events
• Calendar data is processed locally, not uploaded to our servers
• You can revoke calendar access anytime via Google Account settings

By connecting your calendar, you agree to Google's Terms of Service and Privacy Policy.

10. Intellectual Property

FocusGuard, including all code, design, trademarks, and content, is owned by us and protected by copyright, trademark, and other laws. You receive a limited license to use the Service; you do not own the software.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND.

We don't guarantee that FocusGuard will:

• Be error-free or uninterrupted
• Meet your specific productivity needs
• Be compatible with all Chrome versions
• Block 100% of distractions (it's a tool, not magic)

We make no warranties about uptime, accuracy, or fitness for a particular purpose.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• We're not liable for any indirect, incidental, or consequential damages
• Our total liability is limited to the amount you paid in the last 12 months
• We're not responsible for data loss (back up your data!)
• We're not liable if the Service doesn't improve your productivity

Some jurisdictions don't allow liability limitations, so these may not apply to you.

13. Indemnification

You agree to defend, indemnify, and hold us harmless from any claims arising from:

• Your use of FocusGuard
• Your violation of these Terms
• Your violation of any third-party rights

14. Changes to Service

We may:

• Add, modify, or remove features at any time
• Change pricing with 30 days notice
• Discontinue the Service with 60 days notice

We'll notify you of major changes via email or in-extension notification.

15. Termination

15.1 By You

You may cancel your subscription anytime as described in Section 6.

15.2 By Us

We may terminate your account if you:

• Violate these Terms
• Engage in fraudulent activity
• Fail to pay (after grace period)

Upon termination:

• Your license is immediately revoked
• Access to the Service is disabled
• Data may be deleted after 30 days
• Refunds are at our discretion

16. Dispute Resolution

16.1 Informal Resolution

Before filing a claim, please contact us at support@focusguard.app to resolve the issue informally.

16.2 Governing Law

These Terms are governed by the laws of the United States and the State of [Your State], without regard to conflict of law principles.

16.3 Arbitration

Any disputes will be resolved through binding arbitration rather than in court, except:

• Small claims court disputes (under $10,000)
• Intellectual property claims

17. Miscellaneous

17.1 Entire Agreement

These Terms, along with our Privacy Policy, constitute the entire agreement between you and us.

17.2 Severability

If any provision is found unenforceable, the remaining provisions remain in effect.

17.3 No Waiver

Our failure to enforce any right doesn't waive that right.

17.4 Assignment

You can't transfer your account or license. We may transfer our rights and obligations.

17.5 Force Majeure

We're not liable for delays or failures due to circumstances beyond our reasonable control (e.g., natural disasters, internet outages, government actions).
